Hong Kong SFC Proposes Stricter Listing Rules for Stock Exchange

The Securities and Futures Commission has proposed measures to enhance stock exchange regulations. The recommendations follow a review of compliance and enforcement cases from 2024.

The regulator submitted its findings after examining listed companies' internal control reviews, their management of late auditor resignations, and the stock exchange's own listing division procedures. It acknowledged that the exchange had acted on suggestions from a prior report issued in late 2024, but the new analysis identified additional areas for improvement.

One key recommendation involves situations where a company cannot publish financial statements due to irregularities. In such cases, the SFC advised the exchange to verify that the issuer has completely resolved internal control weaknesses and implemented effective steps to follow listing requirements.

The commission also suggested the exchange improve its scrutiny of firms' internal control reviews. Furthermore, regarding late resignations of auditors that delay financial disclosures, the SFC recommended the exchange revise its market guidance to decrease how often these events happen.
