EU Proposes New Digital Business Rules to Streamline Company Formation

The European Commission has introduced a set of digital regulations intended to simplify business operations across Europe. According to Euronews, the rules aim to streamline procedures, lower costs, and accelerate processes for establishing and running companies.

The proposal would allow individuals to form a company in any EU member state in under 48 hours, entirely online and for less than 100 euros. The current President of the European Commission noted that businesses currently navigate more than 60 different national company structures.

Europe's business environment is often seen as hindered by fragmented legal systems and complex bureaucracy, creating significant administrative obstacles. An International Monetary Fund assessment equated the barriers within the EU single market to a substantial tariff on services.

This initiative, termed the 28th regime, represents the latest effort to harmonize business rules at the European level. It is designed as an optional, additional framework rather than a replacement for national laws, providing an alternative path for founders. All companies operating in Europe, including existing ones, are eligible under the current proposal.

However, a senior fellow at Bruegel expressed concerns that past major reforms, such as the European Company law established in 2004, failed to attract sufficient uptake. That earlier system was reportedly complex and primarily accessible to larger firms, ultimately missing its goal of fostering a more innovative and competitive economy with rapidly scaling companies.

The expert argued that the new legislation should focus exclusively on new, young companies with innovative ideas to enhance long-term competitiveness, warning that a broader scope could overload the system and reduce its appeal. Key areas like bankruptcy, taxation, and employment laws remain largely under national control.

The proposal will now be debated by the European Parliament and the Council of the EU. These co-legislators must establish their positions, with the Commission requesting approval by the end of 2026. The subsequent negotiations aim for a final law, aligning with a broader objective to reform the single market.
