Constellation Energy Sells $5B Gas Power Portfolio to LS Power

Constellation Energy Corporation has agreed to sell a collection of natural gas power plants to LS Power for five billion dollars, according to a report from Yahoo Finance. This transaction is the largest step in meeting antitrust requirements set by U.S. regulators after the company's purchase of Calpine.

The sale involves around 4.4 gigawatts of capacity, mostly from gas-fired units located in Delaware and Pennsylvania. The price implies a valuation of approximately 1,142 dollars per kilowatt. The deal covers the main portion of asset sales required by the U.S. Department of Justice and the Federal Energy Regulatory Commission as a condition for approving the Calpine acquisition, which was finalized in January of this year and formed the world's largest private power producer.

Constellation's chief executive described the agreement as a key step toward finishing the regulatory process, with remaining obligations to the Justice Department anticipated later this year. Final approval from both the Justice Department and the energy commission is still needed.

The move underscores heightened regulatory focus on market power within the PJM Interconnection, the nation's largest wholesale electricity market. In that region, growing electricity demand from data centers and industrial users has increased the strategic importance of existing power plants.

For LS Power, the purchase substantially grows its presence in PJM at a time when reliable power sources are highly valued. The firm's leader noted the importance of gas generation for maintaining grid reliability as renewable energy sources expand.

This transaction illustrates a wider industry pattern where large mergers among power companies are followed by selective asset sales to preserve competition. Beyond this PJM portfolio, Constellation must still sell a Texas power plant to completely satisfy Justice Department conditions, having already sold a minority interest in another facility earlier this year.
