China Regulator Requests Hong Kong IPO Candidates to Shift from Red-Chip to H-Share Structure

The request involves moving away from a red-chip structure, where an entity is registered overseas but holds assets in mainland China, toward issuing H shares, which are shares of mainland-incorporated companies listed in Hong Kong.

According to industry sources, the regulatory focus appears to be on firms with the majority of their operations and assets within China. These companies, sometimes referred to as new red chips, are seen as having intentionally adopted an offshore structure primarily to facilitate a Hong Kong listing rather than out of operational necessity.
