Airbnb Launches $2.5 Billion Bond Sale to Refinance 2021 Convertible Note

Airbnb Inc. is planning its first high-grade bond sale to raise $2.5 billion, according to a report from Bloomberg. The offering coincides with the impending maturity of an existing convertible note.

The company intends to sell U.S. dollar-denominated bonds with three-year, five-year, and ten-year maturities. Pricing for the ten-year bonds tightened, resulting in a specific premium over Treasury securities. The transaction is being managed by Bank of America Corp., Goldman Sachs Group Inc., and Morgan Stanley.

Proceeds from the sale are designated for general corporate purposes, which include repaying outstanding debt. A $2 billion convertible senior note issued in 2021 is scheduled to mature imminently. The conversion price set for that note was significantly higher than the company's recent stock price.

That earlier note was part of a wave of similar offerings issued by various companies during the pandemic period. The current debt plan follows company efforts to expand its business model beyond core accommodations into additional services and products.

Airbnb holds an A- credit rating from S&P Global Ratings. The agency anticipates the company will maintain a very conservative financial policy for the coming years. Moody's Ratings assigns Airbnb a grade that is one notch lower, citing the firm's strong brand, global scale, and consistent revenue growth.
